OFFICIAL CONTEST RULES AND REGULATIONS

KEY DATES:

The CeraVe Reward With Purchase 2025 Program (the "Contest") begins on September 2, 2025 at 12:00 a.m. Eastern Time ("ET") and ends on October 15, 2025 at 11:59 p.m. ET (the "Contest Period").

ELIGIBILITY TO ENTER:

The Contest is open only to residents of Canada who have reached the legal age of majority in their province or territory of residence at the time of entry, except employees, representatives, and agents (and those with whom such persons are living, whether related or not) of CeraVe (the "Sponsor"), its parent companies, subsidiaries, affiliates, distributors, prize suppliers, advertising/promotion agencies, and any other individual(s), entity or entities involved in the development, production, implementation, administration, or fulfillment of the Contest (collectively, the "Contest Parties").

AGREEMENT TO BE LEGALLY BOUND BY RULES:

By participating in this Contest, you are signifying your agreement that you have read and agree to be legally bound by these Official Rules and Regulations (the "Rules").

HOW TO ENTER:

With Purchase: To enter the Contest with purchase:

1. (i) during the Contest Period, complete a purchase of at least one (1) CeraVe product, in a single transaction from “Participating Retailers” and,
2. (ii) during the Contest Period,
   1. (a) visit https://pr.topboxexperience.com/cerave-walmart (the “Contest Website”) and complete the official Contest entry form (the “Entry Form”) with all required information, including your full name, a valid email address, phone number and postal code;
   2. (b) upload a copy of your sales receipt, evidencing your Eligible Purchase;
   3. (c) answer correctly, without assistance of any kind, whether mechanical or otherwise, the mathematical skill-testing question;
   4. (d) confirm that you are of the age of majority in your province/territory of residence and that you have read and accept these Rules;
   5. (e) indicate whether you would like to receive future notifications regarding upcoming events and/or promotions from the Sponsor (for certainty, opting-in to receive such notifications is optional and will not impact your chances of winning in the Contest); and
   6. (f) click “Enter” to submit your entry (a “Purchase Entry”).

“Participating Retailers” include Walmart Canada (including the retailer’s online retail channels, as applicable) as set out in Schedule B, below.

To be eligible, your Eligible Purchase receipt submission must fully evidence that you have made an Eligible Purchase during the Purchase Period (including clearly showing the Participating Products purchased and Eligible Purchase date, time and Participating Retailer).

Limit of one (1) Purchase Entry per Eligible Purchase receipt (regardless of the value of Participating Products have been purchased in such transaction). Your Purchase Entry will be automatically deemed a Purchase Entry.

Without Purchase (Alternate Method of Entry): To enter without purchase, handwrite a unique and original essay of at least 50 words describing why you love CeraVe products. Include your full name and email address, and mail it in an envelope with sufficient postage to: CeraVe Reward With Purchase 2025 Program c/o Topbox Inc., 33 Melford Dr, Unit 6, Scarborough, ON M1B 2G6. Limit of one (1) entry per envelope. All mail-in entries must be postmarked during the Contest Period and received no later than October 15, 2025.

ENTRY LIMIT AND CONDITIONS:

There is no limit to the number of entries per person. All entries must comply with these Rules. Use of multiple names or email addresses, or any other method to circumvent entry limitations, will result in disqualification. The Sponsor is not responsible for any lost, late, incomplete, or misdirected entries.

VERIFICATION:

All Contest-Related Information and entrants are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an entrant’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Contest-Related Information and/or other information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of the Contest will be the official time-keeping device(s) used by the Sponsor.

PARTICIPATION REQUIREMENTS:

BY PARTICIPATING IN THIS CONTEST, YOU AGREE TO RELEASE THE RELEASED PARTIES FROM ANY AND ALL LIABILITY IN CONNECTION WITH THE CONTEST AND YOUR PARTICIPATION THEREIN AND TO INDEMNIFY THE RELEASED PARTIES AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM YOUR PARTICIPATION IN THE CONTEST. BY PARTICIPATING IN THIS CONTEST, YOU ALSO AGREE THAT YOUR ENTRY (AND EACH INDIVIDUAL COMPONENT THEREOF) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASED PARTIES WILL BEAR NO LIABILITY WHATSOEVER REGARDING: (I) THE USE OF YOUR ENTRY (OR ANY COMPONENT THEREOF); (II) PARTICIPATION IN ANY CONTEST-RELATED ACTIVITIES; (III) ANY USE, COLLECTION, STORAGE AND DISCLOSURE OF ANY PERSONAL INFORMATION; AND/OR (IV) IF DECLARED A WINNER, THE PRIZE (INCLUDING ANY USE OR MISUSE OF THE PRIZE). THE RELEASED PARTIES SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT OTHERWISE FULLY COMPLIED WITH ANY OF THESE RULES AND/OR THE APPLICABLE SOCIAL PLATFORM RULES (AS APPLICABLE). THIS RELEASE AND INDEMNITY SHALL CONTINUE IN FORCE FOLLOWING THE TERMINATION OF THE CONTEST AND/OR AWARDING OF ANY PRIZE.

By participating in the Contest, each entrant hereby warrants and represents that any Contest-related Information he/she submits does not contain any reference to any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence, and will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party.

PRIZES:

Three (3) grand prizes consisting of $500 CAD Walmart digital gift-cards each will be awarded. The total approximate retail value of all prizes is $1,500 CAD.

WINNER SELECTION:

Three (3) grand prize winners will be selected in a random drawing conducted by the Administrator on or about October 16, 2025 from all eligible entries received during the Contest Period. Odds of winning depend on the number of eligible entries received.

WINNER NOTIFICATION AND CONFIRMATION:

Selected entrants will be notified via email and must respond within five (5) days. Selected entrants must correctly answer a mathematical skill-testing question and may be required to complete and return a declaration and release form. If a selected entrant does not respond in time, fails to correctly answer the skill-testing question, or is otherwise ineligible, an alternate entrant may be selected.

GENERAL CONDITIONS:

Prizes must be accepted as awarded and are not transferable or convertible to cash. Sponsor reserves the right to substitute any prize with another prize of equal or greater value. All taxes and expenses not explicitly included in the prize are the responsibility of the winner.

By entering this Contest, participants consent to the use of their name, city of residence, likeness, and entry for publicity purposes in any media without further compensation.

Sponsor reserves the right to disqualify any individual found to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Rules or in a disruptive manner.

The Contest is subject to all applicable federal, provincial, and municipal laws. All decisions of the Sponsor are final and binding.

PRIVACY:

Personal information collected from entrants will be used by the Sponsor for the purpose of administering the Contest and awarding prizes, and will be handled in accordance with the Sponsor’s Privacy Policy.

GOVERNING LAW:

This Contest shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. All disputes shall be resolved in the courts of Ontario.
